Article 1 (Purpose and language)
1.These Terms of Service ("Terms") govern your use of PDNote and related services (the "Service") provided by Innople, a business registered in the Republic of Korea ("we", "us" or the "Company"). They set out the rights, obligations and responsibilities of the Company and members, the conditions and procedures for using the Service, and the rules for payment and refunds of paid services.
2.This English version applies to users who reside outside the Republic of Korea. Users who reside in the Republic of Korea are governed by the Korean version. Where we provide the service interface in other languages (such as Chinese or Japanese), the English version of this document applies to users outside the Republic of Korea.
Article 2 (Definitions)
1."Service" means all features we provide on the web and in our mobile apps to support video production collaboration, including script import and analysis, scene-level information management, department sheets, shooting schedules, creation, publishing and sharing of daily call sheets, storyboards, budgets and comments.
2."Member" means a person who has agreed to these Terms and entered into a service agreement with us.
3."Workspace" means the top-level working area created when a member first creates a project. Paid plans and payments are managed per workspace.
4."Project" means a production-level working area inside a workspace, together with everything in it, such as scripts, scene information, schedules, documents and comments.
5."Editor seat" means one member who takes part in projects in a workspace with editing rights (owner, admin, team lead or team member role). A member who takes part in several projects in the same workspace uses one editor seat.
6."Viewer" means a participant (such as an actor or external crew member) who only has rights to read, print and share, and who does not use an editor seat.
7."Content" means any information a member uploads to or enters in the Service, such as scripts, photos, documents, notes and comments.
8."Paid plan" means a plan used for a fee set by us (Pro, Studio), and "subscription" means an agreement under which a paid plan renews automatically every month.
Article 3 (Posting and changes to these Terms)
1.We post these Terms in the Service (https://pdnote.app/legal/terms) so that members can easily read them, with a version number and effective date. Previous versions are available on the same page.
2.We may change these Terms to the extent permitted by applicable law.
3.When we change these Terms, we announce the change in the Service at least 7 days before it takes effect, stating the effective date and the reason. For changes that are unfavorable to members or otherwise material, we announce them at least 30 days in advance and notify members individually by email or in-service notification.
4.You have the right not to accept changed Terms, and if you do not accept them you may terminate your agreement (delete your account). If we clearly stated in the notice that you must express your refusal and that silence will be treated as acceptance, and you do not express refusal by the effective date, you are deemed to have accepted the changed Terms, to the extent permitted by the law that applies to you. Where applicable law requires your express consent, we will ask for it, for example through the consent screen shown after you sign in.
Article 4 (Formation of the agreement)
1.You must be at least 14 years old to sign up. If you reside in the European Economic Area, the United Kingdom or Switzerland and the law of your country requires a higher minimum age (up to 16) for using online services without the consent of a parent or guardian, you must meet that age.
2.The agreement is formed when you agree to these Terms and the Privacy Policy, apply through the sign-up process we provide (email sign-up, or sign-in with Kakao, Naver, Google or Apple), and we accept your application.
3.We may withhold or refuse acceptance, and may terminate the agreement if discovered later, where (a) you used another person's information or provided false information, (b) your use was previously restricted for violating these Terms, or (c) we cannot provide the Service for technical reasons.
4.If the information you provided at sign-up (name, email, phone number and so on) changes, you must update it in your account settings without delay. You are responsible for any disadvantage caused by not updating it.
Article 5 (Account and security)
1.You are responsible for managing your account, password and linked social accounts, and must not let any third party use them.
2.If you learn that your account has been stolen or is being used by a third party, you must notify us immediately and follow our instructions.
3.Unless we are at fault, we are not responsible for damage caused by your failure to manage your account or by its use by a third party.
Article 6 (The Service and AI features)
1.We provide features such as script import and scene breakdown, AI element extraction, the scene board and department sheets, shooting schedules, publishing daily call sheets and share links, storyboards, budgets, comments and notifications. Details of the features and the scope of each plan are posted on the pricing page in the Service (/pricing).
2.Some features (such as scene boundary detection, element and character extraction, call time suggestions and shot image generation) use artificial intelligence models. AI results are suggestions, may contain errors, and we do not guarantee their accuracy or completeness. You confirm results after reviewing them, and published documents include only content that has been reviewed and confirmed.
3.To provide AI features, your content (script text, shot descriptions, reference photos and so on) may be sent to and processed by AI service providers we use. The data sent and the providers are listed in the Privacy Policy. We use these providers' APIs under terms that do not allow them to use your content to train their models.
4.We do not use your content to train AI models, whether ours or a third party's.
5.We aim to provide the Service 24 hours a day, every day. We may suspend it temporarily for scheduled maintenance or urgent repairs, with notice in advance, or afterwards in an emergency.
6.To improve the quality of AI analysis, we derive and keep statistics and format patterns from script imports and from the corrections you make, from which the original text cannot be reconstructed: file format, language, scene count, the shape of scene heading lines with letters replaced by character-type symbols and digits by placeholders, and the types and number of corrections. These do not include script text, dialogue, character or location names, or scene content, and are not used to identify you or your projects or to train AI models. They are deleted together with the project concerned.
Article 7 (Fees and plans)
1.The Service is offered as a free plan (Free) and paid plans (Pro, Studio). The scope of each plan (number of editor seats, number of active projects, storage, AI credits provided each month and so on) and the fees are posted on the pricing page in the Service. Posted fees are in Korean won and include Korean value-added tax. On the free plan, projects can be kept in only one workspace you own (the first workspace on the free plan you created), and completed projects become read-only (viewing, printing and share links remain available). This rule does not apply during the beta period.
2.Paid plans are charged per editor seat in the workspace. Viewers are free and unlimited. The monthly Pro plan fee includes the number of editor seats posted in the Service (3 by default).
3.The monthly Pro plan fee is the monthly fee per editor seat multiplied by the number of additional editor seats (seats purchased minus the included seats); even with no additional seats, the minimum monthly fee is that of one editor seat. You must purchase at least as many seats as the number of editors in use. When adding seats increases the billable seats, an amount for the remaining billing period is prorated, charged immediately and applied immediately. Seat reductions take effect from the next billing date, and fees for the current billing period are not refunded.
4."AI credits" are workspace-level units deducted when AI features are used (script import, shot image generation, shot list suggestions, scene re-extraction and so on). The base credits included in a plan each month can only be used in that month and do not carry over. The amount deducted for each feature is posted in the Service, and script import is charged according to the actual amount processed. When credits run out, AI features are restricted until the next month's base credits are provided.
5.After launch (the end of the beta period), every workspace, regardless of plan, may purchase additional AI credits with a registered card, which can be used for one year from purchase. Base credits are used first, then purchased or granted credits in order of earliest expiry. Credits cannot be exchanged for cash or moved to another workspace.
6.We may issue coupons for promotions. A coupon provides the benefit shown on it to a workspace, which may be AI credits, a period of Pro plan use, or a discount on paid plan payments, subject to the validity period and conditions set for each coupon (such as once per workspace). Coupons cannot be exchanged for cash, and benefits from coupons obtained or used improperly may be withdrawn. When a Pro period provided by a coupon ends, the workspace returns to the free plan unless it is paid for separately.
7.During the beta period, all features are provided free of charge, and no plan limits apply other than AI credits and the beta limits described below. The beta limits are limits on the number of active projects for workspaces on the free plan and on storage for each plan; their scope and start date are posted in the Service, and they apply from the start date announced under this paragraph. Once the beta limits apply, projects already created and files already stored remain available, and only actions that increase active projects (such as creating new projects or changing completed projects back to active) and uploading new files are restricted. During the beta, AI credits are provided to every workspace on the Pro plan basis, and additional credits cannot be purchased. We may also set a limit on the total AI credits one person can use per month. We will announce the start of plan limits, including the beta limits, in the Service and by email at least 30 days in advance. These Terms apply equally to projects created during the beta.
8.Changes to fees and plans are announced under Article 3. Fee increases apply to existing subscribers from the next billing date after the notice, and you may cancel before then.
Article 8 (Payment and automatic renewal)
1.Paid plans and AI credits are paid with the payment method (such as a credit or debit card) you register or enter. Payments in Korean won are processed by the payment service provider we designate (PayApp or Toss Payments, Republic of Korea). If you are outside the Republic of Korea and pay in a foreign currency (such as US dollars), Paddle.com Market Limited (United Kingdom, "Paddle") processes the order as the Merchant of Record; in that case Paddle's buyer terms also apply, and receipts and taxes such as VAT or sales tax are issued and charged in Paddle's name (foreign-currency prices do not include tax, which may be added at checkout based on your country of residence). We do not store full card numbers. The payment provider is set when you first pay and cannot be changed while a subscription is active.
2.Subscriptions renew automatically every month. On the same day each month as the first payment (or the last day of the month if that day does not exist), the fee for the number of seats at that time is charged to the registered card. The same billing date and amount rules apply when a payment service provider or Paddle processes the recurring payment.
3.If you increase the number of seats, an amount proportional to the remaining billing period (calculated per day and rounded to the nearest won) for the added billable seats (Article 7(3)) is charged immediately and the change applies immediately. If you decrease the number of seats, you keep the current seats for this billing period and the reduced fee is charged from the next billing date (no refund), and you cannot reduce below the number of editors in use.
4.If a payment fails, we notify you and retry once a day up to 3 times. If all 3 attempts fail, the subscription ends and the workspace returns to the free plan. You may change your card or request payment again before then. When a payment service provider or Paddle processes the recurring payment, the number and timing of retries may follow that provider's process, and we notify you when we learn that a payment has failed.
5.Payment history and card receipts are available on the plan and billing screen in the Service. Korean tax invoices are provided on the Studio plan. For payments processed by Paddle, receipt and tax enquiries and refunds may be handled through Paddle, and we ask Paddle to issue refunds according to Article 9.
Article 9 (Withdrawal and refunds)
1.You may withdraw from a paid plan purchase and receive a full refund within 7 days of the payment date (first payment or monthly renewal) if you have not used the paid plan during that time. "Not used" means that, since the payment, there is no record of saved edits (creating or changing scenes, schedules, documents, storyboards, comments and so on) or AI feature use in the workspace's projects.
2.Refunds under paragraph 1 are requested on the plan and billing screen in the Service. Seat additions paid in the same billing period are also refunded, and the subscription ends immediately and returns to the free plan. Refunds are processed as a cancellation to the card used and may take 3 to 7 business days depending on the card issuer.
3.Outside paragraph 1 (after 7 days, or where there is a usage record), payments are not refunded. If you cancel, you can keep using the paid plan until the end of the billing period, after which it returns to the free plan. You may undo the cancellation before then.
4.If we fail to provide the Service properly for reasons attributable to us (such as an outage lasting 24 hours or more in a row), we will refund an amount proportional to the period you could not use, or extend your period of use, regardless of paragraphs 1 and 3.
5.A purchased AI credit pack may be withdrawn and fully refunded within 7 days of purchase if none of it has been used. Packs that have been partly used are not refunded. Refund requests are made by email to customer support. For payments with a discount coupon, refunds are based on the amount actually paid.
6.If the mandatory consumer protection law of your country of residence gives you a longer withdrawal period or broader refund rights (for example, the 14-day right of withdrawal for consumers in the European Union or the United Kingdom), those rights apply. Where such law allows the right of withdrawal to end once a digital service starts with your express consent and acknowledgement, we will ask for that consent before the service starts.
Article 10 (Return to the free plan and data retention)
1.When a subscription ends and the workspace returns to the free plan, your content and projects are not deleted.
2.Editor seats and active projects beyond the free plan limits are restricted from editing only. Viewing, printing and share links remain available. The workspace owner decides which projects stay active.
3.If you subscribe again, the restrictions are lifted immediately.
Article 11 (Rights and responsibilities for content)
1.Copyright and other rights in content you upload, such as scripts and photos, belong to their respective rights holders. We use content only to provide the Service (storing, displaying, analyzing, generating documents, providing share links and AI processing), and do not use it for other purposes or provide it to third parties.
2.You warrant that you hold lawful rights to the content you upload or have permission from the rights holder. If a dispute with a third party arises from your content, you resolve it at your own cost and responsibility.
3.You must not upload content that infringes another person's copyright, image rights or personal information, or that violates the law. We may stop displaying or delete such content at the legitimate request of a rights holder or where a violation of law is clear.
4.Members invited to a project access content within the role and department permissions granted by the project owner or admins. An actor account (view only) linked to a character can view only the scenes in which that character appears and the actor's own schedule. Content posted by members belongs to the project and stays in the project when a member leaves the project or deletes their account.
5.Share links you create (daily call sheets, script pages and so on) can be viewed without signing in by anyone who has the link. You are responsible for controlling who receives the link and for its expiry and revocation, and for any consequences of a leaked link.
6.Because your content, such as scripts, may be unpublished works, we treat it as confidential. Our staff and operators do not, in principle, view your content. We access it only to the minimum extent necessary (a) when you request or agree to it for support or troubleshooting, (b) when needed to respond to an outage or security incident, or (c) when required by law, and we keep records of such access.
7.You can download your content at any time using the print and PDF features of the Service, and download your account data from account settings ("Download my data"). When you delete a project, it immediately becomes inaccessible in the Service, and 7 days after deletion all project data, including files, is permanently deleted. Within those 7 days you can ask customer support to restore it. When you delete a file, it immediately becomes inaccessible. Copies remaining in disaster recovery backups are deleted on a rolling basis within 7 days after permanent deletion.
8.We may freely use opinions and suggestions (feedback) you give us about the Service to improve it, without separate compensation. This does not apply to your content.
9.Notwithstanding paragraph 6, our operators may view project channel messages and attachments (including conversations between members that we add in future) on a read-only basis to run the Service, improve its quality, and handle reports, abuse and safety issues. Operators cannot post, edit or delete anything in a channel, and every view is recorded in an access log. Details are set out in the Privacy Policy.
Article 12 (Member obligations)
You must not: (a) use another person's account or information; (b) infringe our or a third party's intellectual property; (c) interfere with the normal operation of the Service or place an excessive load on servers or networks (including automated bulk requests); (d) reverse engineer or copy the Service, resell it commercially without our permission, or systematically collect or analyze the Service's features, screens or content in order to build a competing product or service; (e) use crawlers, scrapers, AI agents or other automated means to collect the Service's content or data in bulk, or use anything so collected to train AI or provide it to third parties (except collecting public pages to the extent we allow through robots.txt or similar); (f) upload content that violates the law or these Terms; (g) post comments, including public comments, that insult or harass others; (h) send a third party's personal information through share links, call time text messages or similar without the recipient's consent; or (i) do anything else contrary to applicable law or public order. If you enter other people's names or contact details (such as actors or crew) in a project, or send them text messages or links through the Service, you must obtain any consent required for that collection, use and delivery yourself.
Public comments (on pages such as Learn lessons and field templates) can be seen by anyone, including visitors who are not signed in. A comment that receives a certain number of reports is hidden automatically, and we may hide or delete comments that violate this Article.
Article 13 (Changes to and suspension of the Service)
1.We may change all or part of the Service for operational or technical reasons, and announce in advance any change that significantly affects members.
2.We may temporarily suspend the Service for unavoidable reasons such as natural disasters, power failures, network outages or system maintenance.
3.If we close the business or permanently discontinue the Service, we will announce it at least 30 days in advance and provide a period during which you can download your content.
Article 14 (Termination and restriction of use)
1.You may terminate the agreement (delete your account) at any time in account settings (/settings/withdraw). If you own projects, you can delete your account after transferring ownership to another member or deleting the projects.
2.When you delete your account, your account information and sign-in methods are deleted or anonymized immediately (backup copies are deleted within 7 days), and content in projects you took part in stays in those projects. Any subscription in progress at the time is handled under Article 9, and there is no separate refund for the remaining period, except as required by mandatory law.
3.If you violate these Terms or applicable law, we may restrict your use of the Service or terminate the agreement after notifying you. Where urgent action is needed, we may notify you afterwards.
4.If you have not signed in for one year or more, we may make your account dormant or delete it after notifying you. Accounts that own projects are not deleted.
Article 15 (Limitation of liability)
1.We are not liable for any failure to obtain, or loss of, revenue you expect from using the Service, or for the accuracy or reliability of content members post in the Service.
2.We have no obligation to intervene in disputes between members, or between members and third parties, arising through the Service, and are not liable for damage resulting from them.
3.We back up data daily to preserve it, but you should keep separate copies of important content. Unless we act intentionally or with gross negligence, we are not liable for loss of data.
4.Unless we act intentionally or with gross negligence, our liability to you for damages is limited to the total fees you paid us in the 3 months before the damage occurred. For use of the free plan, we are not liable unless we act intentionally or with gross negligence.
5.The limitations in this Article apply only to the extent permitted by applicable law. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be limited or excluded under the law that applies to you, and nothing affects your statutory rights as a consumer.
Article 16 (Notices)
1.We may send notices to you by the email address you registered, in-service notifications or app push notifications.
2.Notices to all members may be given by posting them in the Service for at least 7 days instead of individual notice. Matters that significantly affect your transactions are notified individually.
Article 17 (Governing law and jurisdiction)
1.These Terms and disputes about the use of the Service are governed by the laws of the Republic of Korea. If you use the Service as a consumer, this choice of law does not deprive you of the protection of the mandatory provisions of the consumer protection law of your country of residence.
2.If a dispute arises between us about the use of the Service, both parties will try in good faith to resolve it through consultation. Please contact us first at the email address below.
3.If a dispute is not resolved through consultation, it may be brought before the competent court under the Civil Procedure Act of the Republic of Korea. If you are a consumer, you may also bring proceedings in the courts of your country of residence where the law of that country allows it.
Supplementary provisions
1.These Terms (version 2.1) take effect on October 26, 2026 (service address https://pdnote.app).
2.These Terms replace the version 2.0 Terms that took effect on October 13, 2026. Members who signed up before these Terms took effect are informed of the changes and asked for consent where required.
